The company is pursuing the delisting voluntarily under Rule 12d2-2(c), which governs the voluntary withdrawal of securities from a national exchange. In the filing, Willi-Food certified that it has complied with Nasdaq’s rules and the applicable SEC requirements for the withdrawal.
Trading to Shift to TASE
The Nasdaq delisting is part of Willi-Food’s previously announced plan to concentrate trading of its shares on the Tel Aviv Stock Exchange (TASE). The company has said that most of its share trading already takes place on TASE, while its operations are primarily centered in Israel.
Willi-Food expects Nasdaq trading to continue until no earlier than August 26, 2026. The company plans for TASE to become its sole official exchange listing beginning no earlier than August 27.

The company also intends to file Form 15F with the SEC around August 28, 2026, to terminate the registration of its securities and its reporting obligations under the U.S. Securities Exchange Act. Filing Form 15F would immediately suspend those reporting obligations, with termination expected within 90 days if there are no SEC objections.
What It Means for Investors
The Nasdaq delisting does not mean Willi-Food shares will stop trading altogether. The company expects its ordinary shares to remain listed and tradable on TASE. It also anticipates that the shares will be available for trading in the U.S. over-the-counter (OTC) market following the Nasdaq delisting.
The move is intended to simplify Willi-Food’s exchange structure and reduce costs associated with maintaining a U.S. listing and regulatory reporting requirements.
