Camtek Ltd. (NASDAQ: CAMT) disclosed an insider transaction involving director Andorn Karni Yarl. According to a Form 4 filed with the U.S. Securities and Exchange Commission, Yarl exercised stock options and subsequently sold 5,532 ordinary shares of Camtek.
The transactions took place in August 2026, as Camtek’s shares were trading at elevated levels following strong quarterly results and an optimistic growth outlook.
Options Exercised
The filing shows that Yarl exercised a total of 4,056 stock options at exercise prices ranging from $22.63 to $63.51 per share. The exercise resulted in the acquisition of ordinary shares that were subsequently sold.
The significant difference between the option exercise prices and Camtek’s market price generated substantial value on the exercised options.
Shares Sold
Following the option exercises, Yarl sold 5,532 Camtek ordinary shares in multiple transactions. The reported sale prices reached as high as approximately $172.74 per share.
The transaction represents a reduction in Yarl’s direct shareholding, although the filing should be viewed in the context of his broader equity position and compensation arrangements.
Strong Business Momentum
The insider transaction comes shortly after Camtek reported record second-quarter 2026 revenue of $133.2 million, an 8% increase from the same period a year earlier. Non-GAAP net income rose to $39.4 million.
Management also provided an upbeat outlook, guiding for third-quarter revenue of $158 million to $160 million, representing roughly 20% sequential growth. The company expects more than 30% revenue growth in the second half of 2026 compared with the first half, with further growth anticipated in 2027.
Investor Takeaway
Yarl’s transaction reflects the exercise and sale of equity received through Camtek’s stock-option program. While insider selling can attract investor attention, the transaction alone does not necessarily indicate a negative view of the company.
Investors may want to consider the sale alongside Camtek’s strong order momentum, record backlog, semiconductor demand and management’s positive revenue outlook. The company continues to benefit from demand related to advanced packaging and other semiconductor applications.
