Rocket Lab has announced one of the biggest deals in the commercial space sector, signing an agreement to acquire satellite communications company Iridium Communications in a transaction valued at approximately $8 billion. The merger marks a major strategic expansion for Rocket Lab, combining its launch and spacecraft manufacturing capabilities with Iridium’s established global satellite communications network. The deal was disclosed in a newly filed SEC Form 8-K following the companies’ merger agreement.
A Transformational Space Deal
Under the agreement, Iridium shareholders will receive $27 in cash plus Rocket Lab common stock for each Iridium share they own. The total consideration is targeted at $54 per share, although the exact number of Rocket Lab shares issued will depend on the company’s stock price before the transaction closes. This structure allows both cash compensation and continued participation in the combined company’s future growth.
Rocket Lab stated that the acquisition is designed to create a more vertically integrated space company capable of providing everything from satellite design and manufacturing to launch services and global communications.
Financing the Acquisition
To support the transaction, Rocket Lab has secured a $3.6 billion senior secured bridge loan facility. The financing provides the company with the liquidity needed to complete the cash portion of the acquisition while maintaining operational flexibility.
The merger agreement also includes customary regulatory approvals and shareholder approval requirements before the acquisition can be finalized. If certain termination conditions occur, the agreement outlines breakup fee provisions to protect both parties.
Why the Deal Matters
The acquisition significantly strengthens Rocket Lab’s position in the rapidly growing space economy.
