Zeta Network Group (NASDAQ: ZNB) has completed a previously announced private placement, raising approximately $10 million in gross proceeds. The company reported the closing in a Form 6-K filed with the U.S. Securities and Exchange Commission on August 19, 2026.
The offering officially closed on August 17, 2026, following a securities purchase agreement signed with investors on July 29.
3.4 Million Units Issued
Under the transaction, Zeta Network issued 3,412,970 units at a purchase price of $2.93 per unit. Each unit includes one Class A ordinary share and one warrant to purchase an additional ordinary share.
As a result, the company issued 3,412,970 ordinary shares and the same number of warrants to participating investors.
The warrants carry an exercise price of $4.40 per share. If all of the warrants are exercised, Zeta Network could issue another 3.4 million ordinary shares and receive additional proceeds.
Crypto Used to Fund the Deal
An unusual feature of the transaction is that the company received the offering proceeds in cryptocurrency rather than traditional cash.
Zeta Network received approximately 156.6533 Solv-BTC, valued at an exchange rate of $63,835.08 per Solv-BTC. The total value of the cryptocurrency payment was $10,000,002.10 before offering expenses.
The company has previously emphasized digital assets and cryptocurrency as part of its broader strategic direction.
Potential Dilution
The issuance of more than 3.4 million new ordinary shares increases Zeta Network’s outstanding share base, which can dilute the ownership percentage of existing shareholders. Further dilution could occur if investors exercise all of the newly issued warrants.
At the same time, the transaction provides Zeta Network with additional capital that could support its business and digital-asset strategy.
Securities Were Unregistered
The securities were sold through a private placement relying on exemptions under Section 4(a)(2) and/or Regulation S of the Securities Act. The securities were not registered under U.S. federal or state securities laws and are subject to restrictions on resale.
Overall, the transaction gives Zeta Network approximately $10 million in gross funding while expanding its share count and adding potential future capital through warrant exercises.
